Please read these terms carefully before using our website or requesting a quotation.
1. Acceptance of terms
These Terms of Service (“Terms”) are a legal agreement between you and SerpBeast Inc (“SerpBeast,” “we,” “us” or “our”), a New York corporation located at 35-06 73rd St #3K, Queens, NY 11372. By accessing or using www.serpbeast.com (the “Site”) or submitting a quotation request or contact message, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.
2. Our services and quotations
- Information on the Site about our services (SEO, UX/UI design, mobile app design and software development) is provided for general information and does not constitute an offer.
- Submitting a quotation request does not create a contract. A quotation we issue is an invitation to enter a separate written agreement (such as a proposal, statement of work or master services agreement) that will govern the engagement, including scope, fees, timelines, deliverables and ownership of work product.
- Quotations are valid for the period stated in them (by default, 30 days) and may be withdrawn or revised before acceptance.
- Results of marketing services, including search rankings and traffic, depend on many factors outside our control, and we do not guarantee specific outcomes unless expressly stated in a signed agreement.
3. Acceptable use of the Site
You agree not to: (a) use the Site for any unlawful purpose; (b) submit false, misleading or infringing information; (c) send spam, malware or automated submissions through our forms; (d) attempt to gain unauthorized access to the Site or its systems; (e) scrape, copy or reproduce Site content except as permitted below; or (f) interfere with the operation or security of the Site.
4. Intellectual property
The Site and its content — including text, graphics, logos, design, code and the SerpBeast name and marks — are owned by or licensed to SerpBeast and protected by copyright, trademark and other laws. You may view and print pages for your personal or internal business use only. Any other use requires our prior written permission. Ownership of work product created for clients is governed by the applicable services agreement.
5. Your submissions
You represent that information you submit through the Site is accurate and that you have the right to share it. By submitting your details, you grant us a limited license to use that information to evaluate your request and prepare a quotation. We treat the information you share as confidential and will not disclose it to third parties except as described in our Privacy Policy. If you require a non-disclosure agreement before sharing sensitive information, please contact us first.
6. Third-party links
The Site may contain links to third-party websites or services . We are not responsible for their content, policies or practices, and linking does not imply endorsement.
7. Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS. NOTHING ON THE SITE CONSTITUTES PROFESSIONAL, LEGAL OR FINANCIAL ADVICE.
8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SERPBEAST AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). LIABILITY IN CONNECTION WITH SERVICES WE PROVIDE IS GOVERNED BY THE APPLICABLE SERVICES AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
9. Indemnification
You agree to indemnify and hold harmless SerpBeast and its affiliates from any claims, damages, losses and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Site.
10. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction. Before filing any claim, you agree to first contact us and attempt in good faith to resolve the dispute informally for at least 30 days.
11. Changes to these terms
We may revise these Terms at any time by posting an updated version on this page. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
